Morguard REIT Announces $90.0 Million Offering of Convertible Debentures
TORONTO, ONTARIO--(Marketwire - Sept. 1, 2009) -
NOT FOR DISTRIBUTION IN THE UNITED STATES OR OVER UNITED STATES WIRE SERVICES
Morguard Real Estate Investment Trust ("Morguard REIT" or the "REIT") (TSX:MRT.UN), announced today that it has amended the terms of its previously announced public offering of convertible debentures. Morguard REIT has entered into an agreement with a syndicate of underwriters, co-led by RBC Capital Markets and TD Securities Inc., with RBC Capital Markets acting as bookrunner, for the purchase by the underwriters, on a bought deal basis, subject to regulatory approval, of $90 million aggregate principal amount of 6.50% convertible unsecured subordinated debentures due September 30, 2014 (the "Debentures"). The Debentures are convertible, at the option of the holder, into trust units of Morguard REIT at $14.00 per trust unit.
Morguard REIT has also granted the underwriters an over-allotment option, exercisable in whole or in part at any time up to 30 days after closing, to purchase up to an additional $13.50 million of Debentures.
Morguard REIT will, by September 4, 2009, file with the securities commissions and other similar regulatory authorities in each of the provinces and territories of Canada, excluding Quebec, a preliminary short form prospectus relating to the issuance of the Debentures. The offering is expected to close on or about September 22, 2009.
The net proceeds from the offering of Debentures (after deducting the Underwriters' fee and estimated offering expenses) will be used, in part, to reduce outstanding indebtedness incurred under the REIT's general operating facility, to fund future acquisitions and for general trust purposes.
