Leisure Canada Announces the Results of its Annual and Special Meeting

MONTREAL, QUEBEC--(Marketwire - July 28, 2010) - Leisure Canada Inc. (TSX VENTURE:LCN) (the "Company") today announced the results of its Annual and Special Meeting (the "Meeting") held on July 26, 2010, Full details of the Meeting are set out in the Notice of Meeting and Information Circular issued in connection with the Meeting, which is available at www.sedar.com.

The following matters were voted on at the Meeting:

Item Voted Upon Voting Result
1. Election of Directors 99.87% of the votes were cast in favor for the election of Robin Conners, David Oliver, Brahm Gelfand, Roman Doroniuk and Eric Demirian.
2. Appointment of KPMG LLP as Auditor 100% of the votes were cast in favor of the appointment of KPMG LLP as the Company's auditor.
3. Special Resolution to Set the Number of Directors at 5 100% of the votes were cast in favor of the Special Resolution.

After the Meeting, the Board of Directors approved the following appointments to serve in those capacities until the next Annual Meeting of Shareholders:

  • Roman Doroniuk as Chairman of the Board of Directors
  • Robin Conners as President and Chief Executive Officer
  • Colin Yee as Chief Financial Officer and Corporate Secretary

The following directors were appointed to the following committees:

  • Audit Committee: Eric Demirian (Chair), Brahm Gelfand, David Oliver
  • Compensation Committee: David Oliver (Chair), Brahm Gelfand, Eric Demirian
  • Corporate Governance and Nominating Committee: Brahm Gelfand (Chair), Eric Demirian, David Oliver

Roman Doroniuk, Chairman

Mr. Doroniuk is currently a Financial and Operational Consultant and serves on the Boards of Groupe Aeroplan and has been a director of the Forzani Group since 1997 during which time he has also been an Executive Vice President and Chief Operating Officer of Magna International Inc. and Magna Entertainment Corp., President of Lionsgate Entertainment, and Chief Financial Officer of Alliance Communications Corporation. Mr. Doroniuk is a past director of several companies, including Canadian Airlines Corporation, Lionsgate Entertainment Corporation, and Peoples Jewellers Corporation. Mr. Doroniuk is a Chartered Accountant and serves as Chairman of the Audit Committees for the Forzani Group and Groupe Aeroplan.

Eric Demirian, Director

Mr. Demirian has over thirty years of experience in the areas of finance, mergers, acquisitions, divestitures and corporate strategy. He is a Chartered Accountant and sits on the Board and is Chair of the Audit Committee for both Enghouse Systems Limited and Menu Foods. From 1983 to 1999, Eric was with PricewaterhouseCoopers where he was a partner and an industry practice leader.
